Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Freely (“FREELY,” “we,” “us,” or “our”) and govern your use of the FREELY mobile app and the website at getfreely.app (together, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country) to use the Service. By using FREELY, you represent that you meet this requirement and that you are able to form a binding contract with us.

2. Your account

Some features require an account. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity that happens under your account. Notify us promptly if you believe your account has been compromised.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Harass, abuse, impersonate, or violate the privacy of other users or guests, including misusing names or responses from a shared guest list.
• Upload or share content that is illegal, infringing, defamatory, or otherwise objectionable.
• Attempt to disrupt, overload, reverse-engineer, scrape, or gain unauthorized access to the Service or its underlying systems.
• Use the Service to send spam or to collect personal data without a lawful basis.

4. Your content

You retain ownership of the content you create in FREELY, including your availability, events, groups, and messages (“Your Content”). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content solely as needed to operate and provide the Service — for example, to show your shared availability to the groups you choose. This license ends when you delete Your Content or your account, except for content others have already saved or where we must retain it to comply with the law.

5. Events organized through FREELY

FREELY is a scheduling tool. Events, getaways, and plans are created and organized by users, not by us. We do not host, supervise, vet, or take part in any event you arrange through the Service, and we are not a party to any agreement between users or guests. You are solely responsible for the events you organize or attend, including the conduct of participants, any costs, and compliance with applicable laws. Any disputes arising from a user-organized event are between the people involved.

6. Third-party services

The Service may interoperate with third-party services (for example, a calendar you choose to connect, or your device’s app store). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

7. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that availability information will always be accurate or complete.

8. Limitation of liability

To the fullest extent permitted by law, FREELY and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service — including, without limitation, any event organized or attended through the Service. To the fullest extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us, if any, in the twelve months before the claim, or USD 100.

9. Indemnification

You agree to indemnify and hold FREELY harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of the rights of any third party.

10. Changes to the Service and these Terms

We are actively building FREELY and may add, change, or remove features at any time. We may also update these Terms; if we make material changes, we will update the date above and take reasonable steps to notify you. Continued use of the Service after changes take effect means you accept the revised Terms.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. Sections that by their nature should survive termination (such as content license grants already exercised, disclaimers, limitation of liability, and indemnification) will survive.

12. Governing law

These Terms are governed by the laws of [governing jurisdiction], without regard to its conflict-of-laws principles, and the courts of that jurisdiction will have exclusive jurisdiction over any disputes, except where applicable law gives you the right to bring a claim elsewhere.
